1. Who We Are
Latinum IT Partners ("Latinum", "we", "us") is a technology company incorporated in Ontario, Canada. We operate at latinum.ca. These Terms govern your use of the Latinum AI agent service ("Service"). By subscribing, you agree to these Terms.
2. Service Description
Latinum provides a dedicated AI executive assistant agent that integrates with your email, calendar, CRM, and project management tools. Your agent is provisioned on a dedicated server hosted in Canada and is accessible via Telegram and a web interface.
The agent is designed to take autonomous actions on your behalf — including drafting and sending emails, scheduling meetings, updating CRM records, and completing research and planning tasks — based on your instructions and configured approval levels.
3. AI Limitations and Your Responsibility
The agent's output is best-effort. AI systems make mistakes. Before relying on any AI-generated content for financial, legal, medical, or other critical decisions, you must review it yourself.
We are not liable for errors, omissions, or inaccuracies in agent output. You are responsible for reviewing agent-drafted communications before they are sent, and for verifying any research or analysis the agent produces.
4. Autonomous Actions and Approval Levels
By subscribing to Latinum, you explicitly authorize the agent to take actions — including sending emails, updating CRM records, scheduling calendar events, and interacting with connected third-party services — based on the approval level you have configured.
You are responsible for configuring your approval levels appropriately. If you configure the agent to act without requiring your confirmation on individual tasks, you accept responsibility for those actions. We recommend starting with higher-approval configurations and reducing friction only after you're comfortable with how your agent operates.
You can change your approval configuration at any time through the agent interface.
5. Data and Privacy
Your data stays in Canada. All agent data — including conversation history, action logs, connected OAuth tokens, and files — is stored on OVH Canada infrastructure (Beauharnois, Quebec).
When you connect third-party services (Gmail, HubSpot, Google Calendar, etc.), we store OAuth access tokens encrypted at rest. We access third-party services only as directed by you through the agent. We do not sell your data, share it with third parties for marketing, or use it to train AI models.

6. Acceptable Use
You may not use Latinum to:
- Send spam, unsolicited commercial messages, or conduct mass outreach without recipient consent
- Engage in any activity that is illegal under Canadian, provincial, or applicable local law
- Impersonate another person or organization without authorization
- Present AI-generated content as human-authored in contexts where that distinction matters
- Attempt to circumvent, reverse-engineer, or interfere with the Service
- Use the Service for activities that harm third parties

7. Fees and Payment
Subscription fees are billed monthly in advance via Stripe. Prices are in Canadian dollars (CAD) unless otherwise stated. We may update pricing with 30 days' written notice. Continued use after a price change constitutes acceptance of the new pricing.
If payment fails, we may suspend your account after reasonable notice. We do not offer refunds for partial months except where required by applicable law.
8. Liability Cap
To the maximum extent permitted by law, our total liability to you for any claim arising from or related to the Service is limited to the fees you paid to us in the three (3) months immediately preceding the claim, up to a maximum of $10,000 CAD per incident.
We are not liable for indirect, incidental, consequential, special, or punitive damages — including loss of profits, business, or data — even if we have been advised of the possibility of such damages.
9. Termination
Either party may terminate the subscription with 30 days' written notice. You may also cancel immediately through your account settings; your access will continue until the end of the current billing period.
We may suspend or terminate your account immediately if you materially breach these Terms — including violations of the Acceptable Use Policy. We will give you notice where feasible.
After termination, your data will be retained for 90 days, during which you may request an export. After 90 days, all data is permanently deleted.
10. Governing Law and Disputes
These Terms are governed by the laws of Ontario, Canada and the federal laws of Canada applicable therein. Any disputes that cannot be resolved informally will be submitted to binding arbitration in Toronto, Ontario, under the Arbitration Act, 1991 (Ontario).
Before initiating arbitration, you agree to contact us at kevin@latinum.ca and allow 30 days for us to attempt to resolve the dispute informally.
11. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email at least 14 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
